Terms of Service

1The service

auramind lets you build and run software agents: you describe a job, and the service configures an agent that carries it out against the data and tools you give it. Agents can read documents you upload, call tools you enable, run code in an isolated sandbox, and produce files.

We develop the service continuously. Features change, and some are added or withdrawn. Where a change materially reduces what a paid plan provides, we will tell you before it takes effect.

2Accounts and organisations

You need an account to use the service. Keep your credentials secure and tell us promptly if you believe they have been compromised. You are responsible for activity under your account.

Every account belongs to an organisation. An organisation's administrators can invite and remove members, manage documents and access tags, configure agents and connectors, and see billing. Administrators can also see certain activity within their organisation — the privacy policy sets out exactly what.

You must be old enough to enter a contract where you live, and the service is not directed at children.

3Plans, billing and taxes

The Free plan costs nothing and is limited. Paid plans are billed per seat through Stripe, monthly or annually, at the fees shown on our pricing page when you subscribe. We do not receive or store your card details.

Paid plans have a minimum number of seats. Adding a member during a billing period adjusts your subscription for that period; removing one takes effect at the next renewal.

Some usage is metered — model tokens and sandbox compute — and is drawn from credits on your account. You can buy credits, and you can enable automatic top-ups. Where usage exceeds your included allowance and no credit remains, requests are declined rather than silently billed.

Fees exclude tax unless stated. Where we are required to collect sales tax, it is added at checkout.

Subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period. We do not refund fees already paid for a period you have used, except where the law requires it.

We will give you advance notice before an increase in the rates you are charged takes effect.

4Your content

You keep every right you already have in the documents, prompts, agent configurations and other material you put into the service. We claim no ownership of it.

You grant us the licence we need to operate the service for you: to store your content, index it so agents can retrieve it, transmit it to the model provider that answers your request, and display it back to you and to others in your organisation as the access controls you configure allow. That licence exists to run the service and for nothing else.

We do not use your content to train models. Our model routing is configured to use only providers that operate under zero data retention.

You are responsible for having the right to put your content into the service, and for the content itself.

5Agents, model output and code execution

Agent output is generated by language models. It can be wrong, incomplete or misleading, and it can be wrong while appearing confident. Do not rely on it as legal, medical, financial or other professional advice, and check anything consequential before acting on it.

Agents can take actions, not only produce text: they can run code, call the tools you enable, write to connected third-party services and send email. You decide which capabilities an agent has. You are responsible for what the agents in your organisation do with the access you give them.

Code an agent writes runs inside an isolated sandbox with no network of its own, and every outbound connection is decided by a proxy. That containment is designed to limit what a run can reach. It is not a guarantee that model-authored code will do what you intended.

Metered capabilities are capped. We may decline or stop a run that exceeds a limit on your plan, loops without progressing, or threatens the stability of the service.

6Acceptable use

You may not use the service to:

• break the law, or help anyone else break it
• infringe someone else's intellectual property, privacy or other rights
• upload malware, or use an agent to attack, probe or disrupt any system
• circumvent the sandbox, the egress proxy, rate limits, quotas or access controls, or attempt to reach another organisation's data
• generate material that sexually exploits children, incites violence, or harasses a person
• resell the service, or use it to build a directly competing product
• misrepresent agent output as human-authored where doing so would deceive someone to their detriment

7Third-party connectors

You can connect third-party services such as Slack and Notion. Nothing is sent to them unless you connect them, and what an agent can do there is governed by the access you grant.

Those services are operated by other companies under their own terms. We are not responsible for them, and a change on their side may affect how a connector works.

8Availability

We work to keep the service available, but we do not promise it will be uninterrupted. We may take it down for maintenance, and we may suspend parts of it to protect the service or its users.

We do not currently offer a contractual uptime commitment. Where we agree one with you separately in writing, that agreement governs.

9Suspension and termination

You can stop using the service and delete your account at any time.

We may suspend or close an account that breaches these terms, that has not paid, or where we are required to by law. Where circumstances allow, we will tell you first and give you a chance to put it right.

When an account closes, we delete its content in the ordinary course. Tell us before you close it if you need an export.

10Warranties and liability

The service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data. Our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here excludes liability that cannot be excluded by law, including for fraud, or for death or personal injury caused by negligence. If you are a consumer, you keep your statutory rights.

11Changes to these terms

We may update these terms. When a change materially affects your rights we will tell you in advance, by email or in the application. Continuing to use the service after a change takes effect means you accept it. If you do not, you can cancel.

12Governing law and disputes

These terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws rules. The courts of Toronto, Ontario have exclusive jurisdiction, and both parties submit to them.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory rules in your own country.

Before starting a formal claim, please contact us — most problems are quicker to fix directly.
